1. Agreement to Terms
By accessing or using the CareCircle website or mobile applications (the "Services"), you agree to be bound by these Terms of Use (the "Terms"). If you do not agree to these Terms, do not access or use the Services.
These Terms incorporate our Privacy Policy. If there is a conflict, these Terms control to the extent of the conflict.
2. No Medical Advice
The Services provide coordination and communication tools for caregivers and care teams. The Services are not a substitute for professional medical diagnosis, treatment, or advice. Always seek the advice of a qualified healthcare provider with any questions regarding a medical condition.
CareCircle is not a healthcare provider, does not treat medical conditions, and the University of Michigan (or any affiliated entity) is not acting as your healthcare provider through the Services.
3. Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you represent that you have the consent of a parent or legal guardian. Use of the Services is void where prohibited by law.
4. User Conduct
You agree that you will not:
- Violate any applicable law or regulation;
- Harass, threaten, or harm others, or post content that is unlawful, obscene, defamatory, infringing, or invasive of privacy;
- Attempt to gain unauthorized access to the Services or interfere with their integrity or performance;
- Impersonate any person or entity, or misrepresent your affiliation;
- Collect or process personal data of other users except as permitted by these Terms and the Privacy Policy;
- Use the Services to solicit, spam, or promote commercial activities not authorized by CareCircle.
CareCircle may remove or disable access to any content that, in our sole discretion, violates these Terms or may cause harm to users or the Services.
5. Intellectual Property
You retain ownership of text, images, and other content you submit ("User Content"). By submitting User Content, you grant CareCircle a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify (for formatting/display), publicly display, and distribute such User Content solely to operate, provide, and improve the Services.
The Services (excluding your User Content) and all related intellectual property rights are owned by CareCircle or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.
6. Third-Party Links & Services
The Services may contain links to or integrations with third-party websites, applications, or services. CareCircle does not control and is not responsible for third-party content or practices. Your interactions with third parties (including healthcare providers) are solely between you and the third party.
7. Limitation of Liability
To the maximum extent permitted by law, CareCircle, its officers, employees, contractors, licensors, the University of Michigan, and their affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.
In no event will the total aggregate liability of CareCircle and its affiliates for all claims relating to the Services exceed the amount you have paid (if any) to use the Services in the twelve (12) months preceding the event giving rise to the claim.
8. Indemnification
You agree to defend, indemnify, and hold harmless CareCircle, its officers, directors, employees, agents, the University of Michigan, licensors, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your User Content, or your violation of these Terms.
9. Termination
We may suspend or terminate your account or access to the Services at any time, with or without notice, for any reason, including if you violate these Terms or our policies. Upon termination, your right to use the Services will immediately cease.
You may delete your account at any time using the in-app deletion feature.
10. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will provide notice (e.g., in-app notice or email). Your continued use of the Services after notice constitutes your acceptance of the updated Terms.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Ann Arbor, Michigan, and you consent to their personal jurisdiction.
12. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver of such right or provision. These Terms, together with the Privacy Policy and any other notices posted through the Services, constitute the entire agreement between you and CareCircle regarding the Services.
